ESA Members Vote to Restructure and Empower Board of Directors

In 2019, the Electronic Security Association Board of Directors made the decision to sunset its Chartered Chapter program. This put in motion a need to update and restructure the Board of Directors that reflects not only best practices for nonprofit trade associations but also the rapidly evolving electronic security and life safety industry.

 

ESA Members Vote to Restructure and Empower Board of Directors

 

After many months of deliberation and review through the ESA Bylaws and Executive Committees, three (3) measures were submitted to ESA members as proposed Bylaw Amendments:

  • Measure No. 1 removes all reference to Charter Chapters and Charter Chapter representation on the Board of Directors.
  • Measure No. 2 restructured the Board of Directors to include ten (10) Directors who will represent Integrators, National Companies, Associate Members, and board-appointed Directors who provide skill and competency in identified fields or specialties of value to this industry. Other revisions included updating voter eligibility and removing reference to the Executive Committee, which will no longer be needed as a stand-alone body with a new operational and strategic board.
  • Measure No. 3 empowers the Board of Directors to make future updates and revisions to the ESA Bylaws as the needs of the organization evolve.

All three amendments were overwhelmingly approved by members who voted during the 21-day voting period that ended on March 17, 2021.

These new Bylaws will go into effect immediately and with these amended Bylaws, ESA Elections will take on an added sense of importance. This year, two Integrator Director positions and one Associate Member Director will be up for election. Unlike past years, all members in good standing will be able to vote for all Director positions.
